These Terms & Conditions (“Terms”) govern your access to and use of the Smartexus platform, website, applications, and related services (collectively, the “Services”), operated by Smartexus (“Smartexus”, “we”, “our”, or “us”).

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you must not use the Services.

1. Eligibility & Account Registration

To use Smartexus, you must:

• Be at least 18 years old

• Have the authority to bind yourself or your organization

• Provide accurate, complete, and current registration information

You are responsible for maintaining the confidentiality of your login credentials and for all activity occurring under your account.

2. Platform Description

Smartexus is a cloud-based workflow automation and productivity platform that provides tools for:

• Client and deal management

• Document generation and analysis

• Workflow automation

• Collaboration and communication

• Reporting, analytics, and training

Smartexus provides technology and automation tools only. All outputs generated by the platform are intended to assist users and must be reviewed by users before use.

3. Free Trial & Subscriptions

3.1 Free Trial

Smartexus may offer a free trial for a limited period. Trial access:

• May be restricted in features or usage

• Automatically expires unless converted to a paid plan

• Does not guarantee continued access to data after expiration

3.2 Paid Subscriptions

Paid plans are billed on a monthly or annual basis, as selected. By subscribing, you authorize us to charge applicable fees using your selected payment method.

All fees are:

• Non-refundable unless required by law

• Exclusive of taxes, which may be added where applicable

We reserve the right to modify pricing with reasonable notice.

4. Acceptable Use

You agree not to:

• Use the platform for unlawful, fraudulent, or harmful purposes

• Upload data you do not have the legal right to use

• Attempt to bypass security or access restrictions

• Reverse engineer, copy, or exploit the platform

• Use the platform to develop competing products

• Abuse AI features or attempt to manipulate outputs

Violation of these rules may result in immediate suspension or termination.

5. Data & User Content

5.1 User Content

You retain ownership of all data, documents, and content you upload (“User Content”).

By using the Services, you grant Smartexus a limited, non-exclusive license to process User Content solely to provide the Services.

5.2 Responsibility for Data

You are responsible for:

• Accuracy and legality of uploaded data

• Obtaining required permissions from clients or third parties

• Reviewing AI-generated outputs before use

6. AI Features & Automation Disclaimer

Smartexus uses artificial intelligence and automation to assist with:

• Data extraction

• Document generation

• Analysis and categorization

• Workflow acceleration

Important:

• AI-generated outputs may contain errors or omissions

• Outputs are not guaranteed to be accurate or complete

• Users must independently review and validate all outputs

• Smartexus does not make decisions on behalf of users

Use of AI features is at your own discretion and risk.

7. Security & Availability

We implement reasonable technical and organizational safeguards to protect data. However:

• We do not guarantee uninterrupted or error-free operation

• Temporary outages may occur due to maintenance or external factors

You acknowledge that no system is entirely risk-free.

8. Intellectual Property

All platform software, designs, content, trademarks, and proprietary technology are owned by Smartexus or its licensors.

You may not:

• Copy or reproduce platform elements

• Remove proprietary notices

• Use branding without written permission

9. Workspace Isolation & User Access

Each workspace operates independently. Users can only access data within their authorized workspace(s).

You are responsible for:

• Assigning roles and permissions

• Managing user access within your organization

10. Termination & Suspension

We may suspend or terminate access if:

• These Terms are violated

• Payment obligations are not met

• Use poses security or legal risk

You may terminate your account at any time. Upon termination:

• Access to the Services will cease

• Data may be deleted after a retention period

11. Limitation of Liability

To the maximum extent permitted by law:

Smartexus shall not be liable for:

• Indirect, incidental, or consequential damages

• Loss of profits, data, or business opportunities

• Errors resulting from user-provided data

• Decisions made based on platform outputs

Our total liability shall not exceed the amount paid by you to Smartexus in the previous 12 months.

12. Indemnification

You agree to indemnify and hold harmless Smartexus from any claims, damages, or losses arising from:

• Your use of the Services

• Violation of these Terms

• Uploading unlawful or unauthorized data

13. Third-Party Services

The platform may integrate with third-party services. Smartexus is not responsible for the availability or practices of external providers.

Use of third-party services is governed by their own terms.

14. Modifications to Terms

We may update these Terms from time to time. Changes will be posted on this page with an updated effective date.

Continued use of the Services constitutes acceptance of revised Terms.

15. Governing Law & Jurisdiction

These Terms shall be governed by and interpreted in accordance with the laws of United Kingdom, without regard to conflict of law principles.
